Terms of Service

Effective 13 July 2026. These Terms of Service ("Terms") are a legal agreement between you and Lumienzo, Inc., a Delaware corporation with a mailing address at 2093 Philadelphia Pike #7740, Claymont, DE 19703, USA ("Lumienzo", "we", "us", "our"). They govern your use of the Lumienzo website at lumienzo.com and our waitlist today, and they will govern your use of the Lumi product (the "Service") once it becomes available. By using the site or joining the waitlist, you agree to these Terms. If you do not agree, please do not use the site.

Pre-launch notice

Lumienzo is not yet generally available. Right now this site is informational, plus a waitlist you can join to hear when we open. The product features described across our marketing pages (accounts, campaigns, contracts, escrow, social connections, dashboards, and logistics) are planned. They are not operating today.

Because we are pre-launch, planned features may change, ship on a different timeline, or not ship at all. Nothing on this site is a promise or guarantee that any particular feature will launch, or that it will work exactly as described. When the Service opens, additional product-specific terms will apply and will be presented to you at signup. You will need to review and accept those terms before you can use the product.

Who can use this

You must be at least 18 years old, or the age of legal majority where you live, to use this site or join the waitlist. If you are using the site on behalf of a company or organization, you confirm that you are authorized to accept these Terms on its behalf.

The waitlist and our emails

When you join the waitlist, you are asking us to keep you informed. That means you consent to receive product updates and launch news by email. We use these emails only to tell you about Lumienzo. Every email includes a working unsubscribe link, and you can opt out at any time. For more on how we handle your email address, see our Privacy Policy.

Acceptable use of the site

When you use this site, please do not:

  • Use the site for any unlawful purpose or in breach of any applicable law or regulation.
  • Scrape, crawl, harvest, reverse engineer, or attempt to extract the source code of the site.
  • Impersonate any person, creator, brand, agency, or organization, or misrepresent your affiliation with anyone.
  • Interfere with, probe, or attempt to defeat the security, availability, or integrity of the site.
  • Upload or transmit malware, or use the site to distribute spam or content that infringes the rights of others.

Intellectual property

The site, the Lumienzo and Lumi names and logos, and all text, graphics, design, and other content we provide are owned by Lumienzo or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view the site for your own informational use. This licence does not let you copy, republish, sell, or create derivative works from our content without our written permission. Decorative photographs on the site are provided by third parties (for example, Unsplash) and remain subject to their own licences.

The Service when it launches

This section describes how the Service is planned to work when it becomes available. It is forward-looking. The details below will be confirmed, and may change, in the product-specific terms presented at signup.

Accounts

When the product launches, you will be able to create an account as a creator, brand, agency, talent manager, or production talent. You will provide details such as your name, email, a password, your role, and profile information. You will be responsible for your account and for keeping your credentials secure.

Campaigns, contracts, and escrow

When the product launches, brands will be able to fund campaigns through escrow held with a regulated third-party payment processor (Stripe). Lumienzo does not hold your funds directly and never sees full card numbers. Where a campaign uses escrow, funds are intended to release to the creator when the brand approves the work, or automatically after a 24-hour review window if the brand does not respond. Lumienzo intends to charge a platform fee only when a deal closes through the Service. All fees will be disclosed to you before you commit to a campaign.

Creator content and licences

When the product launches, creators will keep ownership of the content they create. By using the Service, you would grant Lumienzo a limited licence to host, process, and display your content as needed to operate the Service and to show it to the counterparties in your campaigns. Brands would receive only the usage rights you explicitly agree to in each contract. Detailed commercial terms, including fees, licences, and payout timing, will be provided at launch.

Third-party services

The Service will rely on third parties, and your use of those integrations is subject to their terms as well as ours.

  • Social account connections. When the product launches, creators will be able to connect their own Instagram or other social accounts through the platform's official authorization flow, subject to Meta's and that platform's own terms and policies. You grant access through the platform's own consent screen. This access is read-only: with your authorization Lumienzo will read professional or business account insights (such as follower count, reach, engagement, and audience demographics) and will not post, edit, or delete anything on your behalf. You can revoke access at any time in your Instagram or Facebook settings, or by disconnecting in Lumienzo. Our Privacy Policy explains exactly what data is read, how it is used, and how to request deletion of data we have ingested.
  • Payments. Payments and escrow will be handled by our payment processor (Stripe), subject to their terms. Lumienzo does not process card payments directly.

Disclaimers

The site, the waitlist, and any pre-launch previews or descriptions are provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure, or that any planned feature will launch.

Limitation of liability

To the maximum extent permitted by law, Lumienzo's total aggregate liability for any claim arising from or relating to the site or these Terms will not exceed the greater of (a) the fees you paid to Lumienzo in the twelve months before the claim, or (b) USD 100. In no event will Lumienzo be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Termination

We may suspend, restrict, or end your access to the site at any time if you misuse it or breach these Terms, or if we need to for legal, security, or operational reasons. You can stop using the site whenever you like, and you can leave the waitlist at any time using the unsubscribe link in any email. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply after your access ends.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. If a dispute arises, we ask that you first contact us at [email protected] so we can try to resolve it in good faith. If we cannot resolve it within a reasonable time, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its rules, seated in Delaware, USA. Either party may still seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or security. Where local mandatory consumer protection law gives you rights that cannot be waived, those rights prevail over this section.

Changes

We may update these Terms from time to time, for example as we move from pre-launch toward launch. When we make material changes, we will update the effective date above and, where appropriate, notify you by email. Your continued use of the site after changes take effect means you accept the updated Terms.
